Description:
We are seeking an experienced lawyer to serve as our Corporate Counsel. In this position, you will oversee all corporate legal aspects for our Holding and all its subsidiaries. You safeguard the company’s reputation and ensure that we meet all regulatory guidelines. You will give legal advice to management on all relevant issues. You will be responsible for all legal matters including contracts, frameworks, disputes and litigation. You will oversee all M&A and due diligence. Also, you will be responsible for all legal, tax and securities compliance for all operational jurisdictions. Contracts lawyer and legal support staff will report into him/her. Some travel will be required.
Moreover, the primary responsibility would be for contract law based on FIDIC or JCT and regional experience administering or defending contracts and sub-contracts in construction engineering etc. exposure and experience in technology, service contracts and labor contracts would be a greatly added plus. Legal counsel experience derived in these matters would have to be from a conglomerate.
Responsibilities
1. Legal Advice and Counselling:
a. Provide timely and strategic legal advice to the company’s leadership team on a broad range of legal issues.
b. Analyze and interpret laws, regulations and policies affecting the organization.
2. Contract Drafting and Review:
a. Draft, review and negotiate a variety of contracts, including vendor agreements, employment contracts, and commercial leases.
b. Ensure that contracts align with the company’s policies and protect its interest.
3. Compliance:
a. Monitor and ensure compliance with applicable laws and regulations.
b. Develop and implement compliance programs, policies, and training initiatives.
4. Litigation Management:
a. Manage legal disputes, including overseeing external counsel when necessary.
b. Develop litigation strategies and represent the company in legal proceedings.
5. Corporate Governance:
a. Advise on corporate governance matters and ensure compliance with corporate policies.
b. Assist in board meetings and maintain corporate records.
6. Risk Management:
a. Identify and assess legal risks associated with business activities.
b. Implement risk mitigation strategies and policies.
7. Intellectual Property:
a. Manage and protect the company’s intellectual property rights.
b. Oversee trademark and patent registrations, and address infringement issues.
8. Mergers and Acquisitions (Mandatory):
a. Provide legal support for mergers, acquisitions, and other corporate transactions.
b. Conduct due diligence and negotiate terms of agreements.
9. Employment Law:
a. Advise on employment law matters, including hiring, termination, and workplace policies.
b. Handle employment – related disputes and investigations.
10. Collaboration:
a. Collaborate with various departments including finance, HR and operations, to address legal issues and provide guidance.
11. Policy Development:
a. Contribute to the development and enhancement of company policies to align with legal requirements.
12. Training and Education:
a. Conduct legal training sessions for employees to enhance legal awareness within the organization.
Qualifications:
1. LLB or equivalent degree in law from an accredited law school
2. 10 years + legal experience with minimum experience of 5 years on multinational corporate law.
Skills:
1. Excellent organizational skills and ability to simultaneously manage multiple projects, follow through and meet stringent deadlines.
2. Ability to analyze business processes, spot issues and structure practical solutions.
3. Strong communication and negotiation skills.
4. Proficiency in using legal research tools, case management software and MS Office Suite
